Invest International is a new state-owned company set-up by the Dutch government We are a state-owned company set up by the Dutch government. A private company funded with public capital. The position
The Legal Counsel FR&R will provide legal advice within the organization with a strong focus on managing Invest International’s client files that are facing financial, operational, or other challenges. In close cooperation with the Senior Financial FR&R Officer (Risk & Compliance team) and the commercial deal team, the Legal Counsel FR&R will be involved in and advise on legal aspects of Invest International’s position, the drafting of restructuring plans and negotiations with client – if needed with the support of (foreign) external legal counsel. The scope of the Legal Counsel FR&R investment portfolio is diverse, covering Dutch SMEs as well as Dutch and/or international large corporates.
The Legal Counsel will be part of the Legal & Procurement Department. The Legal team currently consists of 7 lawyers covering a wide variety of legal matters (such as transaction advice on debt and equity transactions, corporate law, procurement law, administrative law, privacy, sanction and anti-money laundering rules, state aid and corporate governance matters) The reporting line is into the Head of Legal & Procurement who reports into the CFRO. The CFRO together with the CEO and CIO constitute the Management Board of Invest International.
Responsibilities
Focus on providing in-house legal advice on FR&R files from Invest International’s project portfolio that are deferred to Restructuring & Recovery based on their rating, in close coordination with the other (Senior) FR&R Officers (Risk & Compliance) and the commercial deal team.
If needed, providing in-house legal advice on new transactions (including (LMA) loan and security documentation).
Coordinating a restructuring process (in relation to the legal aspects) and legal topics with external parties and law firms.
Pro-actively monitor and advise on legal developments, jurisprudence, and/or new legislation/ regulations relevant to Invest International’s activities.
Maintain and keep the know-how and templates for the legal documentation up to date.
When potential legal issues arise, provide legal advice within the organization including financial restructuring and recovery processes; and
Safeguard Invest International’s values at the core of its activities.
About you
Strong affinity with the mission and vision of Invest International.
University law degree (Dutch law is required).
At least 3 – 5 years of solid background in restructuring practice / bijzonder beheer and banking and finance law, as a lawyer in private practice (advocaat) or in-house legal counsel.
Experience with typical LMA standard loan agreements and experience with export credit finance is highly appreciated.
Solid knowledge of private law in general, and more specifically in up-to-date in-depth knowledge of restructuring law.
Experience in drafting legal documents independently and effectively managing and monitoring legal (framework) conditions.
Ability to understand new environments swiftly, how "it actually works" including the interrelationships, and adapt to ‘get things done’.
You place value in processes and procedures yet aim at results that favour the business in the short and long term.
Flexibility in dealing with ambiguity and resilient with adversity.
Strong networking and relation-building skills taking into account different needs, interests, and cultural backgrounds.
Analytical and persuasive, creative, decisive, result-driven, eye for detail.

Excellent communication skills in at least English and Dutch (written and verbal).

12 months contract for 40 hours per week with potential to extend afterwards.
Salary scale 17. This indicates a monthly salary range between €6.415 and €7.618 gross, excluding holiday allowance and 13th month based on a 40-hour workweek. Also, we offer a contribution-free pension plan, NS business card 1st class, laptop, and phone.
